SPONSOR: The Impossible® x Butterypat Giveaway Sweepstakes (the “Sweepstakes”) is sponsored by Impossible Foods, Inc., 400 Saginaw Drive, Redwood City, CA 94063 (the “Sponsor”).

SWEEPSTAKES PERIOD: The Sweepstakes begins at 9:00 AM Pacific Time (PT) on Tuesday, November 4, 2025 and ends at 12:00 PM Pacific Time (PT) on Monday, November 10, 2025 (the “Sweepstakes Period”). Sponsor’s computer is the official clock for the Sweepstakes.

ELIGIBILITY: The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age or older at the time of entry and who have a valid email address. Employees, officers, directors, agents and contractors of Sponsor, its parent companies, subsidiaries, affiliates, advertising and promotion agencies, distributors and each of their immediate family members and household members (whether related or not) are not eligible to enter or win. Void where prohibited.

HOW TO ENTER: During the Sweepstakes Period, complete all required entry steps on the applicable Instagram post: (i) Like the Sweepstakes post; (ii) Follow @impossible on Instagram; and (iii) In the comments, indicate which merch item you would like to win (e.g., “tote,” “burgin bag,” “black hat,” or “cream hat”). An Instagram account is required to enter. Your Instagram account must be public (open) at the time of entry and must include @impossible so Sponsor can notify winners. Limit one (1) entry per person. Automated entries or entries generated by script, macro or other automated means are void.

ENTRY RESTRICTIONS & CONTENT STANDARDS: Entries must comply with these Official Rules and Instagram’s terms. Entries may not contain content that is sexually explicit, defamatory, defamatory, discriminatory, offensive, illegal, or otherwise objectionable as determined by Sponsor in its sole discretion. Sponsor reserves the right (but is not obligated) to review and disqualify entries that violate these Official Rules or Sponsor’s image standards. Sponsor is not responsible for incomplete, illegible, misdirected, late, or otherwise non-conforming entries. Proof of submission is not proof of receipt.

LICENSE TO USE ENTRY MATERIALS: By submitting an entry, you grant Sponsor and those acting on Sponsor’s behalf a perpetual, worldwide, royalty-free, fully transferable license to use, reproduce, publish, display, edit, modify and otherwise exploit the entry (including entrant’s Instagram handle and public profile content) for promotional or marketing purposes in any media now known or hereafter devised, without any further notice, payment, or consideration to entrant, except where prohibited by law. Entrants waive any moral rights or rights of attribution in connection with Sponsor’s use of the entry.

WINNER SELECTION: Eight (8) potential winners will be selected in a random drawing from among all eligible entries received during the Sweepstakes Period. Sponsor’s decisions are final and binding in all respects.

ODDS OF WINNING: Odds of winning depend on the number of eligible entries received.

WINNER NOTIFICATION & DOCUMENTATION: Potential winners will be notified via Instagram Direct Message (DM) and a reply to their comment within seventy-two (72) hours after the drawing. Potential winners must respond to the winning notification within forty-eight (48) hours to confirm eligibility and provide requested information (e.g., mailing address). Potential winners will be required to sign and return, within ten (10) business days of receipt, an affidavit of eligibility, a liability and publicity release, and any applicable tax forms (collectively, the “Confirmation/Release”). If a potential winner fails to respond or to timely return the Confirmation/Release, the prize will be forfeited and an alternate winner may be selected in Sponsor’s sole discretion. Sponsor is not responsible for DM notifications that are undeliverable or filtered by Instagram or entrant account settings.

PRIZE(S): The total number and type of prizes are as follows:

(1) Brown Burgin Bag — 1 winner — ARV $100

(1) Cream Tote — 1 winner — ARV $50

(5) Black hat — 3 winners — ARV $50 each

(5) Cream hat — 3 winners — ARV $50 each

Each winner receives one (1) prize as listed above. Total estimated retail value (ARV) of each prize is as listed above. Limit one (1) prize per person. Prizes are non-transferable and cannot be redeemed for cash except at Sponsor’s sole discretion. Sponsor reserves the right to substitute any prize, or portion thereof, with a prize of comparable or greater value if inventory or other constraints require. Prizes are awarded “as is” without warranty of any kind, express or implied. Sponsor will not replace lost, stolen, mutilated or destroyed prizes. All federal, state and local taxes and any other costs or expenses associated with prize acceptance or use are the sole responsibility of the winner.

FULFILLMENT/ SHIPPING: Sponsor will arrange shipment of prize items to U.S. shipping addresses only. Sponsor is not responsible for shipment delays, losses or damage that occur after the prize leaves Sponsor’s facility. If Sponsor cannot ship prize items to a winner’s address for logistical or legal reasons, Sponsor reserves the right to substitute a prize of comparable value (e.g., alternate merch or a prepaid card). Winners are responsible for providing accurate shipping information and for any customs, duties or other fees not expressly provided for by Sponsor.

TAXES & FORMS: Winners are solely responsible for all federal, state and local taxes associated with receipt or use of any prize. If the aggregate prize value awarded to a winner in a calendar year is $600 or greater, Sponsor will require the winner to complete IRS Form W-9 and will issue an IRS Form 1099 as required by law.

PUBLICITY & USE OF WINNER INFORMATION: Except where prohibited by law, entry constitutes permission for Sponsor to use the winner’s name, Instagram handle, likeness and/or biographical information for advertising and promotional purposes without additional compensation. Personal data collected in connection with the Sweepstakes will be used and disclosed in accordance with Sponsor’s Privacy Policy: https://impossiblefoods.com/privacy.

RELEASE & LIMITATION OF LIABILITY: By participating, entrants release and hold harmless Sponsor, Instagram, Facebook, Twitter and their respective parents, affiliates, subsidiaries, advertising/promotion agencies, and each of their officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or the receipt, possession, use or misuse of any prize, including but not limited to personal injury, death or property damage, except to the extent caused by the gross negligence or willful misconduct of Sponsor. Sweepstakes Entities are not responsible for lost, late, misdirected or incomplete entries, or for technical, hardware or software failures that may affect entry. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES; TO THAT EXTENT, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

DISQUALIFICATION: Sponsor reserves the right, in its sole discretion, to disqualify any entrant who tampers with the entry process, violates these Official Rules, submits false or fraudulent information, or otherwise acts in a disruptive or unsportsmanlike manner.

RECORD RETENTION & SELECTION AUDIT: Sponsor will retain entry records, comment exports, the random selection output and related audit files (including a screenshot or screen recording of the random selection) for a minimum of three (3) years from the conclusion of the Sweepstakes.

INTELLECTUAL PROPERTY: All trademarks, service marks and trade names are the property of their respective owners. Sponsor is responsible for any required permissions for third-party marks used in the promotion.

GOVERNING LAW; VENUE: These Official Rules shall be governed by and construed in accordance with the laws of the State of California without regard to conflict-of-law rules. Any dispute arising out of or related to these Official Rules or the Sweepstakes shall be brought exclusively in the state courts located in San Mateo County or the United States District Court for the Northern District of California, and entrants hereby consent to the personal jurisdiction of such courts.

SEVERABILITY; WAIVER: If any provision of these Official Rules is held invalid or unenforceable, such provision shall be struck and the remaining provisions will remain in full force and effect. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

WINNER NAMES: For the name of the winners, mail a self-addressed, stamped envelope within sixty (60) days after the winner selection date to: Impossible Foods, Attn: Promotions — Impossible® x Butterypat Giveaway Winners, 400 Saginaw Drive, Redwood City, CA 94063. Where required by law, Sponsor will reimburse postage.
