TERMS AND CONDITIONS

BY RSVPING FOR OR ENTERING THIS EVENT, YOU ACKNOWLEDGE AND AGREE TO THE TERMS AND CONDITIONS OF THIS RELEASE OF LIABILITY AND WAIVER OF RIGHTS (THIS “RELEASE AND WAIVER”), INCLUDING THE RIGHT AND ABILITY TO BRING FUTURE LEGAL ACTIONS AGAINST IMPOSSIBLE FOODS INC., A DELAWARE CORPORATION (“SPONSOR”).

Event: Impossible® x Big Boi: 404 Taste the Block – a promotional pop-up food and concert experience at Smorgasburg Atlanta celebrating 404 Day on Saturday, April 4, 2026, from 11:00am – 7:00pm EDT at Smorgasburg Atlanta: 140 Forsyth St SW, Atlanta, GA 30303 (the “Event”).

Eligibility, Entry & Conduct. You must bring a valid government-issued photo ID to enter. RSVPs do not guarantee entry, as space is limited and entry is first come, first served. Sponsor may refuse entry or ask a guest to leave at its sole discretion. You agree to follow all rules and instructions during the Event. Outside alcohol, illegal substances, weapons, and dangerous items are prohibited. Sponsor and venue reserve the right to refuse entry or remove anyone from the Event that it determines, in its sole discretion, to be intoxicated, disruptive, unsafe or otherwise behaving in a manner that could pose a danger to anyone.

Participation and Agreement. By attending the Event, you acknowledge and agree that your entry and presence constitute acceptance of all terms and conditions of this Release and Waiver. This Release and Waiver is binding upon you and enforceable against you, your personal representatives, spouse, heirs, successors, assigns, and next of kin.

Assumption of Risk. YOU UNDERSTAND THAT PARTICIPATION IN THE EVENT INVOLVES INHERENT RISKS, INCLUDING BUT NOT LIMITED TO FOODBORNE ILLNESS, ALLERGIC REACTIONS, INTOXICATION, PROPERTY DAMAGE, LOSS OR THEFT, EXPOSURE TO COMMUNICABLE DISEASE (INCLUDING BUT NOT LIMITED TO COVID-19, MEASLES, ETC.), ACCIDENTS, BODILY HARM, INJURY, OR DEATH. YOU VOLUNTARILY ASSUME ALL SUCH RISKS, WHETHER KNOWN OR UNKNOWN, EVEN IF ARISING FROM THE ORDINARY NEGLIGENCE OF SPONSOR OR OTHERS.

Release from Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU, ON BEHALF OF YOURSELF AND ALL RELATED PERSONS, HEREBY ACKNOWLEDGE AND KNOWINGLY, VOLUNTARILY, IRREVOCABLY, FULLY, AND FOREVER RELEASE, WAIVE, AND DISCHARGE SPONSOR, THE VENUE, ALL TALENT, AND EACH OF THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, INSURERS, SUCCESSORS, AND ASSIGNS (THE “RELEASED PARTIES”) FROM ANY AND ALL CLAIMS, DEMANDS, ACTIONS, DAMAGES, OR LIABILITIES OF ANY KIND (INCLUDING ALL NEGLIGENCE CLAIMS) DIRECTLY OR INDIRECTLY THAT (A) RELATE TO ANY OF THE RISKS, HAZARDS AND DANGERS DESCRIBED ABOVE; OR (B) ARISE OUT OF OR RELATE TO YOUR ATTENDANCE AT THE EVENT. THIS RELEASE AND WAIVER DOES NOT EXTEND TO CLAIMS FOR GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, OR OTHER LIABILITIES THAT CANNOT BE WAIVED UNDER APPLICABLE LAW.

Indemnity. You agree to indemnify, defend, and hold harmless the Released Parties from and against all losses, damages, liabilities, deficiencies, actions, judgments, interest, awards, penalties, fines, costs, or expenses of whatever kind (including reasonable attorneys’ fees) resulting from your conduct, actions, or inactions while attending the Event.

Insurance.  It is your sole responsibility to arrange appropriate personal insurance necessary in connection with your attendance at the Event. 

Covenant Not to Sue. YOU AGREE NOT TO BRING ANY LAWSUIT OR LEGAL CLAIM AGAINST THE RELEASED PARTIES FOR INJURY, ILLNESS, DEATH, PROPERTY DAMAGE OR LOSS, OR OTHER LOSS CONNECTED WITH THE EVENT, EVEN IF CAUSED BY THE ORDINARY NEGLIGENCE OF SPONSOR OR OTHERS.

Food and Allergens. Food at the Event may contain or come into contact with common allergens. It is your responsibility to determine whether food or beverages are safe for your consumption.

Medical Treatment. In the event of illness or injury, you consent to receive medical treatment as deemed necessary and agree to be solely responsible for all related costs.

Speaker and Talent.  Views expressed by Big Boi, any other performer, speaker, or attendee at the Event are their own.  Sponsor shall have no liability for any views expressed by Big Boi, any other performer, speaker, or attendee at the Event or in any non-Sponsor-provided material distributed to Event attendees. 

Publicity Release. By attending the Event, you grant Sponsor the right to use your name, likeness, image, and voice in photographs, videos, and other recordings of the Event in perpetuity for promotional or other lawful purposes without compensation to you. All rights titled and interest therein will be Sponsor’s sole property.

Event Changes. Sponsor may change, postpone, or cancel the Event at any time, including for reasons outside of its control. Sponsor shall not be liable for costs or damages arising from such changes.

Governing Law. This Release and Waiver is governed by the laws of the State of California. Any disputes must be resolved exclusively in the state or federal courts located in San Mateo County, California.

You agree that if any provision or part thereof contained in this Release and Waiver is declared illegal, unenforceable, or ineffective, such provision or part thereof shall be deemed severable, such that all other provisions contained herein shall remain valid and binding.

BY RSVPING FOR AND ENTERING THE EVENT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THIS RELEASE AND WAIVER, AND THAT YOU ARE VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE SPONSOR.
