OFFICIAL RULES “WIN THE 99/9 CHALLENGE” CONTEST

The Win the 99/9 Challenge (the “Contest”) is sponsored by Impossible Foods Inc., 400 Saginaw Drive, Redwood City, CA 94063 (“Sponsor”). The Contest is subject to all federal, state and local laws and regulations, and is void where prohibited or restricted by law. By entering the Contest, you represent that you satisfy all eligibility requirements and agree to be bound by these Official Rules. You understand that the results of the Contest, as determined by Sponsor and its agents, are final in all respects.
THESE OFFICIAL RULES CONTAIN AN ARBITRATION AGREEMENT, CLASS ACTION WAIVER, AND LIMITATIONS OF LIABILITY THAT AFFECT YOUR RIGHTS UNDER THESE TERMS AND WITH RESPECT TO ANY DISPUTE BETWEEN YOU AND SPONSOR REGARDING THE CONTEST.
THIS CONTEST IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH INSTAGRAM. YOU UNDERSTAND THAT YOU ARE PROVIDING YOUR INFORMATION TO SPONSOR AND NOT TO INSTAGRAM. THE INFORMATION YOU PROVIDE WILL ONLY BE USED AS PROVIDED BELOW IN THESE OFFICIAL RULES. Any questions, comments or complaints regarding the Contest should be directed to Sponsor only.
Eligibility. The Contest is open only to legal residents of the United States who are 18 years of age or older at the time of entry and who are otherwise eligible under these Official Rules. Employees, officers, and directors of Sponsor and its affiliated companies, parents or subsidiaries, advertising and promotion agencies, distributors, agents, representatives, contractors, and any other company involved in the development or execution of the Contest, and members of their immediate families (parent, child, sibling and their respective spouses) and same households, whether or not related are not eligible to enter or to win. Void where prohibited.
Contest Period. Entry opens at 12:00 PM PT on [Launch Date] and closes at 11:59:59 PM PT on September 1, 2025 (“Entry Period”). Winner to be selected on or about September 2, 2025. Sponsor’s computer will serve as the official clock for the Contest.
How to Enter. To enter, submit a 30-second original video via the entry form at impossiblefoods.com/win99challenge by the close of the Entry Period. The video must address the three prompts listed on the landing page. Limit one (1) entry per person/email address. Entries must be the entrant’s original work and must not contain third-party copyrighted music or other content for which entrant does not hold rights.
Odds of Winning. Odds of winning depend on the total number of eligible entries received for the prize drawing.
Entry Restrictions. Entries may not contain, as determined by Sponsor, in its sole discretion, any content that is inappropriate, indecent, harmful, discriminatory or obscene; or violates any law. All entries must be in keeping with Sponsor’s image and may not be offensive or violate the social media site terms and conditions, as determined by Sponsor. Sponsor reserves the right, but will not be obligated, to review entries for compliance with these Official Rules. Sponsor may disqualify any entry or for any reason, as determined by Sponsor.
General Entry Terms. Sponsor has no obligation to advise an entrant of an incomplete or otherwise non-compliant entry. Sponsor is not responsible for delayed, misdirected, or incomplete entry, which will be disqualified. Use of automated entry systems and tampering with the entry process or the operation of the Contest is prohibited and any entries deemed by Sponsor, in its sole discretion, to have been submitted in this manner will be void. Entries generated by a script, macro, or other automated means will be disqualified. Receipt of entry may not be acknowledged, and proof of submission of an entry will not be deemed proof of receipt. In the event of a dispute as to any entry, the authorized account holder of the e-mail account used to enter will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an e-mail address by an Internet access provider, online service provider. Potential winner may be required to show proof of being the authorized account holder.
Each entrant submitting an entry unconditionally and irrevocably grants to Sponsor (and those acting pursuant to the direction of Sponsor) a perpetual, worldwide, royalty-free, irrevocable, fully-transferable license to use, display, reproduce, and exploit that entry in any way (without approval of, compensation or acknowledgement to the individual that submits an entry) for promotional purposes in any media or manner worldwide. Any individual submitting an entry hereby waives in favor of Sponsor any moral rights, “droit moral,” rights of attribution or similar rights the individual might otherwise have in or to the entry. Sponsor shall have no obligation to maintain any of the entries or information or ideas contained therein as confidential or proprietary. Entrants agree that there is no guarantee that Sponsor will make use of any rights granted to Sponsor in any entry and any use of an entry is solely at Sponsor’s discretion.
Judging & Winner Selection. One (1) Grand Prize winner will be selected by a judge designated by Sponsor on or about August 27, 2025. Entries will be judged on the following criteria: Creativity (40%), Demonstrated enthusiasm/fit for the event (30%), and Persuasiveness/strategy to accomplish the 99/9 Challenge (30%). Judges’ decisions are final and binding. In the event of a tie, the tied entry with the highest Creativity score will be the winner.
Winner Notification. Potential prize winner will be notified via email, with instructions on how to redeem the prize. The notified winner must reply to the email within twenty-four (24) hours or they will forfeit their prize and another winner will be randomly selected. The potential winner must follow the instructions to redeem a prize within the required time period or the potential winner may be disqualified and the prize may be forfeited. A winning entry may not be declared until verification of eligibility of the entrant as well as verification of compliance with these Official Rules. Please ensure that email settings are set up to allow for receipt of communications from Sponsor. Sponsor assumes no responsibility for undeliverable prize notification resulting from undelivered telephone calls, any form of active or passive filtering by any social media platform or entrant’s account or email settings or for insufficient space in an entrant’s user account to receive notifications or emails.
Potential winner must sign and return any required forms, including, without limitation, statements of eligibility, prize acceptance and liability and publicity release forms, and applicable tax forms (“Confirmation/Release”) to Sponsor within three (3) business days after delivery of the forms as described below. The return of the above-mentioned forms within the allotted time shall be solely the responsibility of the potential winner; Sponsor is not responsible for delays in delivery. If prize notification is returned as undeliverable or if a potential winner fails to comply with these Official Rules, cannot be reached by Sponsor (or its designee), or fails to return all of the required forms within the time specified, that potential winner may be disqualified, in Sponsor’s sole and absolute discretion, the prize will be forfeited and a new potential winner will be selected, while time permits.
Prize. One (1) Grand Prize: round-trip economy airfare for one (1) winner to San Francisco, California (date: September 12, 2025), two (2) night hotel accommodations (single room), two (2) game tickets, participation in the 99/9 Challenge with Joey Chestnut, and all Impossible® Chicken Nuggets necessary for the Challenge as provided by Sponsor. Sponsor may provide additional in-market ground transportation at its discretion. Approximate Retail Value (“ARV”): USD $3,000 (exact ARV to be determined and noted in final rules). Prize is non-transferable and not redeemable for cash. Sponsor reserves the right, at its sole discretion, to substitute any prize, or portion thereof, with one of comparable or greater value. Prizes are nontransferable and cannot be redeemed for cash. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. Sponsor will not replace any lost, mutilated, stolen, or destroyed prize. Each winner agrees to comply with all applicable terms, restrictions, and regulations that may be connected with any prize. All federal, state, and local taxes on the prize are the sole responsibility of the winner. All other costs and expenses not expressly set forth herein are the winner’s sole responsibility.
Winner Requirements; Tax Forms. Potential winner must: (a) be available to travel to San Francisco on September 12, 2025; (b) complete and return within three (3) business days a Prize Acceptance Form, an IRS Form W-9 (for U.S. persons), a publicity release, and the Medical Clearance & Assumption-of-Risk Release described below; and (c) pass Sponsor’s verification process (including identity, residency, and eligibility verification). Failure to comply will result in forfeiture and selection of an alternate. Sponsor will issue an IRS Form 1099 for the ARV of the prize as required by law.
Medical Clearance & Safety. Participation in competitive eating carries risk. The selected winner must submit, within three (3) business days of notification, a signed Medical Clearance Form from a licensed physician confirming the entrant is medically able to participate in a competitive-eating event. In addition, the winner must sign a written Assumption of Risk & Release prior to participation. If physician clearance or signed releases are not provided or if Sponsor, in its reasonable discretion, determines the winner is medically or otherwise unsuitable to participate, the prize will be forfeited.
Intellectual Property & License. By submitting an entry, entrant warrants that the entry is original, that entrant owns the rights necessary to submit and license the entry, and that the entry does not infringe any third-party rights. By entering, entrant grants Sponsor, its affiliates and designees a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, reproduce, edit, exhibit, publish, distribute and otherwise exploit entrant’s video and name, likeness, voice, and biographical materials in any medium or format for advertising and promotional purposes without further compensation, unless prohibited by law.
Publicity. Except where prohibited by law, submission of an entry in the Contest constitutes permission to the Sponsor and its affiliates and those operating on its behalf to use the entry, to use entrant’s name, image, biographical information, voice, statements, image, picture and likeness for purposes of administration of the Contest (including, posting winner’s name on Sponsor social media channels) and in advertising and trade, worldwide in all forms of media now known or hereafter developed, in perpetuity, without further notice, approval, or compensation. Sponsor and its designees are not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation.
Disqualification. Sponsor reserves the right to disqualify any entry or entrant who tampers with the entry process, submits an entry that is obscene, defamatory, infringing or otherwise violates these Rules, or attempts to obtain entries by fraudulent means.
Travel Terms & Conditions. Travel is subject to availability and Sponsor’s travel supplier terms. Winner is responsible for all expenses not expressly stated as included, including but not limited to airport transfers not included, luggage fees, incidentals, gratuities, ground transportation beyond prize parameters, taxes on prize components other than those expressly paid by Sponsor, insurance, and any upgrades. Winner must travel on Sponsor-approved dates. Prize may not be transferred, assigned, or redeemed for cash.
CONDITIONS, RELEASE OF LIABILITY, AND DISCLAIMER OF WARRANTIES: Entrants agree to these Official Rules and the decisions of the Sponsor, and release the Sponsor and Contest Entities, from any and all liability, for loss, harm, damage, injury (personal or private), cost or expense whatsoever including without limitation, property damage, personal injury of any kind and/or death alleged to occur in connection with participation in the Contest, or acceptance, use or misuse of a prize. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTRANTS RELEASE AND HOLD HARMLESS SPONSOR AND ITS AFFILIATES FROM ANY LIABILITY, LOSS, OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH PARTICIPATION IN THE CONTEST OR USE OF ANY PRIZE. Winner will be required to sign an Assumption of Risk & Release before receiving the prize.
Winner further releases and agrees to indemnify the Sponsor and Contest Entities from all liability for any injury or damage caused by or claimed to be caused by participation in this Contest, or use or redemption of any prize awarded, including, but not limited to, any prize-related activity. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES AND LIMITATIONS OF LIABILITY, AS SUCH, TO THE EXTENT SUCH EXCLUSIONS ARE SPECIFICALLY PROHIBITED BY APPLICABLE LAW, SOME OF THE EXCLUSIONS SET FORTH ABOVE MAY NOT APPLY TO YOU.
Sponsor has no responsibility for any damage to an entrant’s computer or any device that is directly or indirectly caused by entering the Contest or otherwise participating in the Contest, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, dropped or delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for lost, interrupted, inaccessible or unavailable networks, servers, Contest communications or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical or programming malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in the offering or announcement of any prize or in any prize notification documents, or other errors of any kind or nature; or for the incorrect or inaccurate capture of entry or other information, or the failure to capture or the loss of any information. Sponsor is not responsible for any incorrect or inaccurate information, whether caused by Contest entrants, tampering or hacking, or by any of the equipment or programming associated with or utilized in the Contest and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Contest.
The Sponsor reserves the right to correct clerical or typographical errors in promotional materials. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
If, for any reason, the Contest is not capable of running as planned by reason of, but not limited to, tampering, unauthorized intervention, fraud, technical failures or any other causes which Sponsor deems could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest and select the winner from eligible, non-suspect entries received prior to the action or as otherwise may be deemed fair and equitable by Sponsor. Sponsor shall post notice of such action on the Website or as otherwise permitted under applicable law. Sponsor reserves the right in its sole discretion to permanently disqualify any person it believes has intentionally violated these Official Rules. SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND PURSUE ALL REMEDIES AGAINST ANY INDIVIDUAL, WHETHER OR NOT AN ENTRANT, WHO INTERFERES OR ATTEMPTS TO INTERFERE WITH THE OPERATION OF THE CONTEST TO THE FULLEST EXTENT PERMITTED BY LAW.
Governing Law & Dispute Resolution. Entrants agree that: (1) any and all disputes, claims, and causes of action arising out of, or connected with, this Contest or the acceptance, use or misuse of the prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Northern District of California or the appropriate California state court located in San Francisco; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs, but in no event including attorneys' fees, disbursements or court costs; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages, and any other damages other than for actual out-of-pocket costs; and (4) any right to a jury trial in any dispute, claim, or cause of action arising out of, or connected with, this Contest is hereby waived.
Privacy. Use of data about entrants collected by Sponsor is limited to administration of the Contest and publicity and marketing purposes set forth in these Official Rules. Please review the Sponsor’s privacy statement at https://impossiblefoods.com/privacy. By participating in the Contest, entrants hereby agree to the collection and use of information as set forth in these Official Rules and in the Sponsor’s privacy statement, and acknowledge that they have read and accepted the Sponsor’s privacy statement. Sponsor may engage certain third party companies to perform services in connection with the administration of this Contest and information provided by entrants may be collected and used by those third parties for purposes of administration of the Contest and the fulfillment and verification of prize awards.
Winner List. For the name of the winner, send a stamped, self-addressed envelope to Impossible Foods, Inc., 400 Saginaw Drive, Redwood City, CA 94063 within 30 days after contest end, or visit impossiblefoods.com/win99challenge/winners.
Miscellaneous. Sponsor reserves the right to modify or cancel the Contest in whole or in part and to interpret these Official Rules. Any material change to the rules will be posted on the contest page.
