The Impossible™ x Fuku US Open Ticket Giveaway Sweepstakes (“Sweepstakes”) is sponsored by Impossible Foods, Inc., 400 Saginaw Drive Redwood City CA 94063 (“Sponsor”). The Sweepstakes is subject to all federal, state and local laws and regulations, and is void where prohibited or restricted by law.  By entering the Sweepstakes, you represent that you satisfy all eligibility requirements and agree to be bound by these Official Rules.  You understand that the results of the Sweepstakes, as determined by Sponsor and its agents, are final in all respects.   

THESE OFFICIAL RULES CONTAIN AN ARBITRATION AGREEMENT, CLASS ACTION WAIVER, AND LIMITATIONS OF LIABILITY THAT AFFECT YOUR RIGHTS UNDER THESE TERMS AND WITH RESPECT TO ANY DISPUTE BETWEEN YOU AND SPONSOR REGARDING THE SWEEPSTAKES.  

THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH INSTAGRAM.  YOU UNDERSTAND THAT YOU ARE PROVIDING YOUR INFORMATION TO SPONSOR AND NOT TO INSTAGRAM.  THE INFORMATION YOU PROVIDE WILL ONLY BE USED AS PROVIDED BELOW IN THESE OFFICIAL RULES.  Any questions, comments or complaints regarding the Sweepstakes should be directed to Sponsor only.

SWEEPSTAKES PERIOD: Sweepstakes will be announced (including but not limited to) on IF social media channels. The Sweepstakes begins at or about 9am Pacific Standard Time (“PST”) on August 23, 2023 and ends at or about 9am PST on August 24, 2023 (the “Sweepstakes Period”). Sponsor’s computer will serve as the official clock for the Sweepstakes.

ELIGIBILITY: Sweepstakes is open only to legal residents of the fifty United States and the District of Columbia, who at the time of entry are 18 years of age or older and have a valid email address.  Employees, officers, and directors of Sponsor and its affiliated companies, parents or subsidiaries, advertising and promotion agencies, distributors, agents, representatives, contractors, and any other company involved in the development or execution of the Sweepstakes (“Sweepstakes Entities”), and members of their immediate families (parent, child, sibling and their respective spouses) and same households, whether or not related are not eligible to enter or to win. 

ODDS OF WINNING: Odds of winning depend on total number of eligible entries received for the Prize drawing. 

HOW TO ENTER: To enter, like the post, comment with your favorite dipping sauce, and follow Impossible Foods (@impossible_foods) and Fuku (@fuku) on Instagram.  An Instagram account is required to enter. You must have an open or public account.  Sign into your Instagram account (or create an Instagram account if you do not already have one).  

ENTRY RESTRICTIONS: Do not share in Stories on Instagram.  Entries may not contain, as determined by Sponsor, in its sole discretion, any content that is inappropriate, indecent, harmful, discriminatory or obscene; or violates any law. All entries must be in keeping with Sponsor’s image and may not be offensive or violate the Social Media Site terms and conditions, as determined by Sponsor. Sponsor reserves the right, but will not be obligated, to review entries for compliance with these Official Rules.  Sponsor may disqualify any entry or for any reason, as determined by Sponsor.  

You must have an open or public Instagram account to participate and must include @impossible_foods for winner notification purposes to be eligible to win/claim the Prize.  If you send or receive Instagram updates from your wireless phone, your wireless service provider may charge you.  Message and data rates may apply.  You should consult your wireless service provider regarding pricing plans.  By submitting an entry, you grant permission for the entry, including your Instagram handle and public profile information, to be publicly posted, at Sponsor’s discretion.  Limit of one (1) entry.

GENERAL ENTRY TERMS:  Sponsor has no obligation to advise an entrant of an incomplete or otherwise non-compliant entry. Sponsor is not responsible for delayed, misdirected, or incomplete entry, which will be disqualified. Use of automated entry systems and tampering with the entry process or the operation of the Sweepstakes is prohibited and any entries deemed by Sponsor, in its sole discretion, to have been submitted in this manner will be void. Entries generated by a script, macro, or other automated means will be disqualified. Receipt of entry will not be acknowledged, and proof of submission of an entry will not be deemed proof of receipt. In the event of a dispute as to any entry, the authorized account holder of the e-mail account or social media account used to enter will be deemed to be the entrant.  The "authorized account holder" is the natural person assigned an e-mail address or social media account by an Internet access provider, online service provider or Social Media Site responsible for assigning the e-mail addresses or social media account. Potential winner may be required to show proof of being the authorized account holder.

Each entrant submitting an entry unconditionally and irrevocably grants to Sponsor (and those acting pursuant to the direction of Sponsor) a perpetual, worldwide, royalty-free, irrevocable, fully-transferable license to use, display, reproduce, and exploit that entry in any way (without approval of, compensation or acknowledgement to the individual that submits an entry) for promotional purposes in any media or manner worldwide. Any individual submitting an entry hereby waives in favor of Sponsor any moral rights, “droit moral,” rights of attribution or similar rights the individual might otherwise have in or to the entry. Sponsor shall have no obligation to maintain any of the entries or information or ideas contained therein as confidential or proprietary. Entrants agree that there is no guarantee that Sponsor will make use of any rights granted to Sponsor in any entry and any use of an entry is solely at Sponsor’s discretion.  

PRIZE; WINNER SELECTION:

PRIZE: Two (2) tickets to the US Open Women’s Tennis Semi-Finals on September 7, 2023 and One Thousand Dollars ($1000) (collectively, the “Prize”). The total approximate retail value (ARV) of the Prize is One Thousand Five Hundred Dollars ($1500). Sponsor is not responsible for awarding more than the stated number of Prizes. If, for any reason, more Prize notifications are sent (or more claims are received), Sponsor reserves the right to award the intended number of Prizes through a random drawing from among all eligible Prize claims received. The Prize may not be awarded if an insufficient number of eligible entries is received.

WINNER SELECTION:

One (1) potential winner will be selected in a random drawing from all valid and eligible entries posted to Instagram during the Sweepstakes Period. Limit of one (1) Prize per person. 

WINNER NOTIFICATION:  The potential Prize winner will be notified based on information provided at entry, which may include sending a Direct Message or a message under the original entry on the Social Media Site, with instructions on how to redeem the Prize. The potential winner must follow the instructions and redeem the Prize within twenty-four (24) hours or the potential winner may be disqualified and the Prize may be forfeited.   A winning entry may not be declared until verification of eligibility of the entrant as well as verification of compliance with these Official Rules.  Please ensure that email and social media settings are set up to allow for receipt of communications from Sponsor. Sponsor assumes no responsibility for undeliverable Prize notification resulting from undelivered telephone calls, any form of active or passive filtering by any social media platform or entrant’s account or email settings or for insufficient space in an entrant’s user account to receive notifications or emails.

Potential winner must sign and return any required forms, including, without limitation, statements of eligibility, Prize acceptance and liability and publicity release forms, and applicable tax forms (“Confirmation/Release”) to Sponsor within ten (10) business days after delivery of the forms. The return of the above-mentioned forms within the allotted time shall be solely the responsibility of the potential winner; Sponsor is not responsible for delays in delivery. If Prize notification is returned as undeliverable or if a potential winner fails to comply with these Official Rules, cannot be reached by Sponsor (or its designee), or fails to return all of the required forms within the time specified, that potential winner may be disqualified, in Sponsor’s sole and absolute discretion, the Prize will be forfeited and a new potential winner will be selected, while time permits.

All potential WINNERS are subject to verification by Sponsor, whose decisions are final AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES.  An entrant is not a winner of the Prize, unless and until entrant’s eligibility, AND the potential Winner has been verified and entrant has been notified that verification is complete.  Sponsor will not accept screenshots or other evidence of winning in lieu of its validation process.  any play that occurs after the system has failed for any reason is deemed a defective play, is void and will not be honored.

Sponsor reserves the right, at its sole discretion, to substitute the Prize, or portion thereof, with one of comparable or greater value. Prize is nontransferable and cannot be redeemed for cash. The Prize is awarded “as is” with no warranty or guarantee, either express or implied. Sponsor will not replace any lost, mutilated, stolen, or destroyed Prize. Each winner agrees to comply with all applicable terms, restrictions, and regulations that may be connected with the Prize.  All federal, state, and local taxes on the Prize are the sole responsibility of the winner. All other costs and expenses not expressly set forth herein are the winner’s sole responsibility.  

SOCIAL MEDIA SITES:  Sponsor is not responsible for any changes or unavailability of the Social Media Site that may interfere with the Sweepstakes (including any limitations, restrictions, or conditions on Sponsor’s ability to use the Social Media Site for the Sweepstakes as set forth in these Official Rules that are not acceptable to Sponsor) or ability of entrants to timely enter, receive notices or communicate with Sponsor via the Social Media Site, in which case, Sponsor, in its sole discretion, may terminate or modify the Sweepstakes. PUBLICITY AND MARKETING: Except where prohibited by law, submission of an entry in the Sweepstakes constitutes permission to the Sponsor and its affiliates and those operating on its behalf to use the entry, entrant’s name, image, biographical information, voice, statements, image, picture and likeness for purposes of administration of the Sweepstakes (including, posting winner’s name on Sponsor social media channels) and in advertising and trade, worldwide in all forms of media now known or hereafter developed, in perpetuity, without further notice, approval, or compensation.  Sponsor and its designees are not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation.

CONDITIONS, RELEASE OF LIABILITY, AND DISCLAIMER OF WARRANTIES: Entrants agree to these Official Rules and the decisions of the Sponsor, and release the Sponsor and Sweepstakes Entities, from any and all liability, for loss, harm, damage, injury (personal or private), cost or expense whatsoever including without limitation, property damage, personal injury of any kind and/or death alleged to occur in connection with participation in the Sweepstakes, or acceptance, use or misuse of the Prize. Winner further releases and agrees to indemnify the Sponsor and Sweepstakes Entities from all liability for any injury or damage caused by or claimed to be caused by participation in this Sweepstakes, or use or redemption of the Prize awarded, including, but not limited to, any Prize-related activity. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES AND LIMITATIONS OF LIABILITY, AS SUCH, TO THE EXTENT SUCH EXCLUSIONS ARE SPECIFICALLY PROHIBITED BY APPLICABLE LAW, SOME OF THE EXCLUSIONS SET FORTH ABOVE MAY NOT APPLY TO YOU.

Sweepstakes Entities have no responsibility for any damage to an entrant’s computer or any device that is directly or indirectly caused by entering the Sweepstakes or otherwise participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, dropped or delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sweepstakes Entities are not responsible for lost, interrupted, inaccessible or unavailable networks, servers, Sweepstakes communications or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical or programming malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in the offering or announcement of the Prize or in any Prize notification documents, or other errors of any kind or nature; or for the incorrect or inaccurate capture of entry or other information, or the failure to capture or the loss of any information. Sweepstakes Entities are not responsible for any incorrect or inaccurate information, whether caused by Sweepstakes Entrants, tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Sweepstakes. 

The Sponsor reserves the right to correct clerical or typographical errors in promotional materials.  Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

If, for any reason, the Sweepstakes is not capable of running as planned by reason of, but not limited to, tampering, unauthorized intervention, fraud, technical failures or any other causes which Sponsor deems could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes and select the winner from eligible, non-suspect entries received prior to the action or as otherwise may be deemed fair and equitable by Sponsor. Sponsor shall post notice of such action on the Website or as otherwise permitted under applicable law. Sponsor reserves the right in its sole discretion to permanently disqualify any person it believes has intentionally violated these Official Rules.  SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND PURSUE ALL REMEDIES AGAINST ANY INDIVIDUAL, WHETHER OR NOT AN ENTRANT, WHO INTERFERES OR ATTEMPTS TO INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES TO THE FULLEST EXTENT PERMITTED BY LAW.

DISPUTE RESOLUTION; GOVERNING LAW: Entrants agree that: (1) any and all disputes, claims, and causes of action arising out of, or connected with, this Sweepstakes or the acceptance, use or misuse of the Prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Northern District of California or the appropriate California state court located in San Francisco; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs, but in no event including attorneys' fees, disbursements or court costs; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages, and any other damages other than for actual out-of-pocket costs; and (4) any right to a jury trial in any dispute, claim, or cause of action arising out of, or connected with, this Sweepstakes is hereby waived.

USE OF DATA:  Use of data about entrants collected by Sponsor is limited to administration of the Sweepstakes and publicity and marketing purposes set forth in these Official Rules. Please review the Sponsor’s privacy statement at https://impossiblefoods.com/privacy.  By participating in the Sweepstakes, entrants hereby agree to the collection and use of information as set forth in these Official Rules and in the Sponsor’s privacy statement, and acknowledge that they have read and accepted the Sponsor’s privacy statement. Sponsor may engage certain third party companies to perform services in connection with the administration of this Sweepstakes and information provided by entrants may be collected and used by those third parties for purposes of administration of the Sweepstakes and the fulfillment and verification of the Prize.  

WINNER NAMES: For the name of the winners, send a self-addressed envelope no later than sixty (60) days after the winner selection date to: Impossible Foods, 400 Saginaw Drive Redwood City CA 94063, Attn: Impossible™ x Fuku US Open Ticket Giveaway Sweepstakes Winners. Where required, Sponsor will reimburse postage.
